Note: These terms apply to Changemakers and Charity Partners signing up to the Rayz platform during the MVP. Supporters are covered by separate Supporter Terms.
1. About these terms
1.1 These Terms and Conditions ("Terms") form a legal agreement between you and Rayz App Ltd, a company registered in England and Wales (company number 16847921), whose registered office is at Rayz, Working From Southwark, 32 Blackfriars Road, SE1 8PB, ("Rayz", "we", "us", "our").
1.2 Rayz operates a platform that connects changemakers and recognised charity partners (together, "you") with supporters who fund and follow their work (the "Platform").
1.3 The Rayz Foundation is a separate legal entity that delivers the Rayz Development Programme (onboarding, verification, safeguarding, and readiness). Where these Terms refer to the Development Programme, that programme is delivered by the Foundation under its own programme terms. Your use of the commercial Platform is governed by these Terms with Rayz.
1.4 By creating an account, completing onboarding, or publishing content, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Platform.
1.5 If you are signing up on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.
2. Definitions
- Changemaker - an individual, team, or small community-led organisation delivering grassroots impact, accepted onto the Platform through the Development Programme.
- Charity Partner - a recognised charity or NGO onboarded to the Platform under a charity partner arrangement.
- Development Programme - the onboarding, verification, and readiness pathway delivered by the Rayz Foundation.
- Trust Profile / Trust Badge - the verification status displayed on your profile (e.g. Rayz Verified).
- Updates / Captured Lives - short-form posts, text, images, audio, or video you publish to communicate your work.
- Supporter - a user who donates to or follows you on the Platform.
- Donation - any one-off or recurring payment made by a Supporter toward your work.
- Content - anything you upload, publish, or transmit through the Platform.
3. Eligibility
3.1 To use the Platform as a Changemaker or Charity Partner, you must:
- be at least 18 years old (or the age of majority in your jurisdiction);
- be doing genuine, active impact work - not aspirational or fictitious;
- be able to publish honest, accurate updates about that work;
- pass the Development Programme, including identity verification (KYC), interview, and safeguarding;
- provide accurate, current, and complete information during onboarding.
3.2 Acceptance onto the Platform is at our discretion. Completing part of the Development Programme does not entitle you to go live.
3.3 We may refuse, suspend, or remove any account where eligibility is not met or can no longer be verified.
4. The Development Programme and verification
4.1 Before going live, you must complete the Development Programme delivered by the Rayz Foundation. This includes (as applicable): identity verification, a live or digital interview, profile building, document checks, the relevant development modules, and a mandatory safeguarding module.
4.2 Your Trust Badge reflects your progress through the programme and your verified status. It does not reflect your size, or any endorsement of your finances by Rayz.
4.3 You must keep your verification information current. We may ask you to re-verify your identity or status at any time, and may suspend your account pending re-verification.
4.4 Verification confirms identity and programme completion. It is not a guarantee, warranty, or financial audit of your organisation, and Supporters are told as much.
5. Your account
5.1 You are responsible for keeping your login credentials secure and for all activity under your account.
5.2 You must notify us promptly of any unauthorised access or security breach.
5.3 You may not transfer your account to another person or organisation without our prior written consent.
5.4 You must keep your profile and organisational details accurate and up to date.
6. Your content and updates
6.1 You retain ownership of the Content you publish.
6.2 By publishing Content, you grant Rayz a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, and distribute that Content for the purpose of operating, promoting, and improving the Platform, including showing it to Supporters and within discovery and campaign features.
6.3 You confirm that, for all Content you publish, you:
- own it or have all necessary rights and permissions to share it;
- have obtained appropriate consent from any identifiable individuals shown (and, critically, valid consent and safeguarding approval for any image, audio, or video involving children or vulnerable people);
- are not infringing anyone's intellectual property, privacy, or other rights.
6.4 Updates must be honest and accurate. You must not misrepresent your work, your outcomes, or how funds have been used.
6.5 We may remove or restrict any Content that breaches these Terms, our content standards, or applicable law, and may do so without prior notice where there is a safeguarding, legal, or trust risk.
6.6 Captured Lives™ consent. Where you record or publish Captured Lives content featuring any identifiable person, you must first obtain their informed consent. For children or vulnerable adults, you must obtain the consent of a parent, guardian, or appropriate responsible adult and complete any safeguarding approval we require. You must comply with the Rayz Captured Lives Consent & Filming Policy available on the Rayz website at all times, and must not publish footage of anyone who has refused or withdrawn consent. How Rayz handles this content is set out in our Privacy Policy also available on the Rayz website.
7. Donations and funds
7.1 Supporters may make one-off or recurring Donations toward your work through the Platform's payment flows.
7.2 Donations are processed by our third-party payment provider(s). By receiving Donations, you agree to the applicable payment provider terms, and you may be required to complete the provider's own onboarding and verification.
7.3 Rayz does not guarantee any level of funding. Supporter numbers and Donation volumes depend on factors outside our control.
7.4 You are responsible for ensuring that funds received are used for the purposes you represent to Supporters. Misuse of funds, or material misrepresentation of how funds are used, is a serious breach of these Terms.
7.5 During the MVP, donation payment processing fees are passed through at cost. Payout timing, currency handling, and payout methods are as described on the Platform and may vary by market. We will give notice before and if introducing any platform transaction margin.
7.6 You are solely responsible for your own tax obligations, financial reporting, and (where relevant) charity-regulatory obligations arising from funds you receive. Rayz is not your accountant, tax adviser, or fundraising regulator.
7.7 Where Gift Aid or equivalent reliefs apply, you are responsible for ensuring your eligibility and compliance; any support Rayz or the Foundation provides is administrative and does not transfer responsibility to us.
8. Charity Partner terms
8.1 Charity Partners are onboarded as a single organisational entity and must provide a nominated responsible contact for verification.
8.2 Charity Partners must hold valid registration with the relevant charity regulator (e.g. the Charity Commission for England and Wales, or local equivalent) and provide evidence on request.
8.3 Charity Partners join an existing grassroots-led ecosystem. You agree that Rayz's grassroots changemakers remain central to the Platform, and that participation does not entitle you to preferential placement beyond what is described on the Platform.
8.4 Where a Charity Partner refers grassroots organisations onto the Platform, those organisations are independently verified through the Development Programme and contract with Rayz directly. You are not responsible for their conduct, and they are not your agents, unless separately agreed in writing.
9. Safeguarding
9.1 Safeguarding is a condition of access, not an optional extra. You must complete the mandatory safeguarding module or evidence best safeguarding practice before going live and maintain the relevant standard thereafter.
9.2 You must:
- never use the Platform to exploit, endanger, or harm any person, particularly children or vulnerable adults;
- obtain valid, informed consent before sharing any identifiable image, story, or detail of a beneficiary;
- report any safeguarding concern to us without delay using the channels we provide.
9.3 We operate a designated safeguarding function. We may suspend or remove any account immediately, without notice, where we reasonably believe there is a safeguarding risk, and may report concerns to relevant authorities where required or appropriate.
10. Acceptable use
10.1 You must not:
- provide false, misleading, or fraudulent information at any stage;
- impersonate any person or organisation, or misrepresent your affiliation;
- solicit Donations under false pretences or misappropriate funds;
- publish unlawful, defamatory, hateful, harassing, or obscene Content;
- attempt to circumvent the Platform's payment flows;
- introduce malware, scrape data, or interfere with the Platform's operation;
- use the Platform to promote anything unrelated to your verified impact work without our consent.
10.2 Breach of this section may result in immediate suspension or termination.
11. Intellectual property
11.1 Rayz (and, in respect of programme materials, the Rayz Foundation) owns all rights in the Platform, the Development Programme, the Rayz brand, software, trust framework, and associated materials. Nothing in these Terms transfers any of those rights to you.
11.2 You are granted a limited, revocable, non-transferable licence to use the Platform and your verified status for the purpose of operating your presence and receiving support, in accordance with these Terms.
11.3 You may indicate your verified status and use Rayz badges only as permitted on the Platform, and must stop using them if your status changes or your account ends.
12. Data protection and privacy
12.1 We process personal data in accordance with applicable data protection law (including UK GDPR) and our Privacy Policy available on our website.
12.2 Where you collect or handle personal data of beneficiaries or supporters through your use of the Platform, you are responsible for doing so lawfully, including having a valid basis and appropriate consents.
12.3 You must not use Supporter data obtained through the Platform for any purpose other than maintaining your relationship with those Supporters in line with applicable law and our policies, and must not sell or improperly share it.
12.4 Referring supporters. Where you invite or refer Supporters to the Platform (for example via a referral link or by sharing contact details), you confirm you have a lawful basis and any necessary consent to share their personal data with us for that purpose, and that they would reasonably expect to be contacted about Rayz.
13. Suspension and termination
13.1 You may close your account at any time through the Platform or by contacting us at contact@rayz.space.
13.2 We may suspend or terminate your account, with or without notice depending on the severity, if you breach these Terms, if verification cannot be maintained, if there is a safeguarding or fraud concern, or if required by law.
13.3 On termination: your profile and the ability to receive new Donations will cease; existing recurring Donations may be cancelled; and we will handle any funds in line with applicable law and our payout processes. Clauses that by their nature should survive termination (including liability, IP, and indemnity) will continue to apply.
14. Disclaimers and liability
14.1 The Platform is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or that it will generate any particular level of support or funding.
14.2 Nothing in these Terms limits liability that cannot lawfully be limited (including for death or personal injury caused by negligence, or for fraud).
14.3 Subject to clause 14.2, Rayz is not liable for indirect or consequential loss, loss of donations, loss of profit, or reputational harm, and our total aggregate liability to you in any 12-month period is limited to the greater of (a) the total fees (if any) you have paid us in the 12 months before the claim, and (b) £100.
14.4 Rayz is a technology platform. We are not party to the relationship between you and your Supporters, and we are not responsible for the conduct of any Supporter, Changemaker, or Charity Partner.
15. Indemnity
15.1 You agree to indemnify Rayz against any claims, losses, liabilities, and reasonable costs arising from your breach of these Terms, your Content, your misuse of funds, or your breach of safeguarding, data protection, or applicable law.
16. Changes to these terms
16.1 We may update these Terms from time to time. We will give reasonable notice of material changes. Continued use of the Platform after changes take effect constitutes acceptance. If you do not accept a material change, you may close your account.
17. General
17.1 These Terms, together with the documents they reference, form the entire agreement between you and Rayz regarding the Platform.
17.2 If any provision is found unenforceable, the rest remains in effect.
17.3 We may assign these Terms to a successor (e.g. on a restructure or sale). You may not assign yours without our consent.
17.4 No failure to enforce a term waives our right to do so later.
18. Governing law
18.1 These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights you have under local law.
